I see the license agreement in //OpenCV2.4/install/doc/license.txt that pretty much lays it all down. I am sure the legal types can interpret it better than me but all it requires is to retain the copyright notice. Of course, there are some parts of OpenCV that are free for academic use but not so for commercial (for example, SURF).
